Agreement to Terms

Consultation and Project Terms

Initial Consultation

All projects begin with an initial consultation to discuss your needs, preferences, and budget. Consultations may be conducted in person, via video call, or through other agreed-upon methods.

Project Scope and Agreements

Each project will be governed by a separate written agreement that outlines the specific scope of work, timeline, deliverables, and payment terms. This agreement must be signed by both parties before work commences.

Changes and Modifications

Any changes to the agreed-upon scope of work must be documented in writing and may result in adjustments to the project timeline and cost. Additional fees may apply for significant changes requested after work has begun.

Payment Terms

Payment terms will be specified in your project agreement. Generally:

• A deposit is typically required to secure your project date
• Progress payments may be required for larger projects
• Final payment is due upon completion of services
• All prices are in Canadian dollars unless otherwise stated

Late payments may incur interest charges and may result in suspension of services.

Intellectual Property

All design concepts, plans, drawings, and other materials created by Ylozdraxax remain our intellectual property until full payment is received. Upon full payment, you receive a license to use these materials for your project.

You may not reproduce, distribute, or use our designs for commercial purposes without written permission. We retain the right to use project photographs for our portfolio and marketing materials unless otherwise agreed in writing.

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your needs and preferences
• Make timely decisions and approvals as required
• Provide access to the project space as needed
• Make payments according to the agreed schedule
• Obtain any necessary permits or approvals from third parties

Limitation of Liability

Ylozdraxax's liability is limited to the total value of fees paid for the specific service in question. We are not liable for:

• Indirect, incidental, or consequential damages
• Delays caused by third parties or circumstances beyond our control
• Issues arising from client-provided information or materials
• Changes made by clients or third parties without our approval

Cancellation and Refunds

Cancellation policies are detailed in your project agreement. Generally:

• Cancellations made more than 14 days before the project start date may receive a full refund minus a processing fee
• Cancellations made within 14 days may forfeit the deposit
• Work completed prior to cancellation is non-refundable

Website Use

When using our website, you agree not to:

• Attempt to gain unauthorized access to any part of the website
• Transmit any viruses, malware, or harmful code

Dispute Resolution

Indemnification

You agree to indemnify, defend, and hold harmless Ylozdraxax and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorney's fees) arising from:

• Your use of our services or website
• Your violation of these Terms of Service
• Your violation of any third-party rights
• Any content you submit, post, or transmit through our services

Force Majeure

We shall not be liable for any failure or delay in performance under these terms which is due to fire, flood, earthquake, elements of nature or acts of God, acts of war, terrorism, riots, civil disorders, rebellions, or revolutions, strikes, lockouts, labor disputes, or any other similar cause beyond our reasonable control.

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms of Service, together with any project-specific agreements, constitute the entire agreement between you and Ylozdraxax regarding the use of our services and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
